      Re MR. Thomas MILES deceased
      Opinion
I have perused the accompanying papers & I am of opinion that the effect of the Articles of Partnership was to adeem the specific bequest to Frank Edwin MILES of the furniture stock in trade horses vans carts carriages & good will of the business of furniture dealer & the debts owing to the testator at the time of his decease in connection with the said business, as all of those things had become the property of the Partnership, & in lieu thereof the testator had become entitled to a 1000 capital in the business & a share of goodwill. It is not like the converse case of re RUSSELL RUSSELL & CHELL 19 bh D 432 where a testator bequeathed his share & interest in a partnership business & subsequently acquired the whole. Even if there was not ademption, the aforesaid specific bequest would not pass the testator's capital of 1000. But there is no ademption of the Shop which accordingly passes to the Son, subject to the mortgage debt of 1800, & to his liability to pay the annuity of 1 per week to the Widow for life.
Of course if the Partnership business is not wound up & the Son & daughter continue to carry it on at the shop in question the firm will have to pay the rent to the Son.
If the Son & daughter elect to buy the share of the testator in the business under article 18 they will have to pay, in equivalent shares, his executors the 1000 representing his capital (an illegible phrase has been inserted here). Or if the Son & Daughter elect to wind up the Partnership then, subject to discharging the debts of the Firm, & to the payment of undistributed profits, the capital of the testator & the other two partners, would have to be replaced. But if the business is of any value a winding up would presumably not be beneficial.
I do not see any view upon which the Son Frank Edwin MILES could be entitled to his fathers 1000 capital in the business. On the other hand such son alone is not liable to such 1000. It is a liability of the Partnership.
I observe that under the Articles the testator took no share of profits. A question arises on the Will as to the residue. The testator first of all directs his trustees to pay the income of it to his wife for life - he then proceeds to dispose of various specific portions of it & then directs the ultimate residue to be sold & the income of the net proceeds to be paid to his wife for life. I have not particulars of the residue & a difficult question may arise as to how far the widow takes in specie. It is clear that she will take in specie the property which is specifically dealt with after her death, but I incline to think that the rest, unless it consists of authorised securities, will have to be sold & the income thereof be paid to the Widow for life.
